Terms of Service

These Terms of Service ("Terms") govern access to and use of the Workplex website (workplex.ai) and the Workplex application (together, the "Services"), provided by WorkplexAI LLC ("Workplex", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a law firm or other organization, you represent that you are authorized to bind that organization ("Firm"), and "you" includes the Firm.

1. The Services

Workplex provides software that ingests case files, classifies and organizes them, and produces cited records to support review by legal professionals. Workplex is a software tool, not a law firm, and does not provide legal advice or legal services. The Services assist licensed professionals; they do not replace professional judgment or the attorney-client relationship.

2. Attorney review and no reliance

Outputs generated by the Services — including summaries, extractions, chronologies, classifications, and drafts — are first-pass work product intended to be reviewed, verified, and approved by a licensed attorney before any use. You are responsible for independently verifying every output before relying on it, filing it, or acting on it. Workplex is not responsible for decisions made, or actions taken, on unreviewed or unverified output.

3. Accounts and access

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access is limited to authorized users within your Firm; you must not share credentials or allow access by anyone who is not authorized.

4. Your responsibilities

• You must have the right and authority to upload any content you submit and to have Workplex process it.
• You must use the Services in compliance with applicable law and your professional and ethical obligations, including client confidentiality, privilege, and the rules of professional conduct.
• You are responsible for obtaining any client consents or authorizations required for you to process client information through the Services.
• You must not attempt to disrupt or gain unauthorized access to the Services, reverse engineer them, or use them to build a competing product or model.
• You must not upload unlawful content or content you are not permitted to disclose to a service provider.

5. Firm content and ownership

As between you and Workplex, your Firm retains all rights to the case files it uploads ("Firm Content") and to the records generated from that content. You grant Workplex a limited, non-exclusive license to host, process, and use Firm Content solely to provide, secure, and support the Services for your Firm. Workplex does not use Firm Content to train foundation models. Workplex retains all rights to the Services, including its software, models, and platform, and to aggregated or de-identified data used to operate and improve the Services in a manner that does not identify you, your Firm, or any individual.

6. Protected health information

Firm Content may include protected health information (PHI). Where the Services are used to process PHI, the parties will enter a Business Associate Agreement (BAA), and that BAA governs Workplex's handling of PHI. Workplex maintains safeguards appropriate to such data and contracts with its own sub-processors accordingly.

7. Fees

Fees, payment terms, and the scope of your subscription are set out in a separate order form or agreement between your Firm and Workplex. Those commercial terms control over these Terms with respect to payment and subscription matters.

8. Confidentiality

Each party may receive information that is confidential to the other. Workplex treats Firm Content and your non-public account information as confidential and uses it only to provide the Services. Workplex staff access to Firm Content is contractual, logged, and limited to support you request or to maintain and secure the Services.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Workplex does not warrant that outputs are complete, accurate, current, or error-free — which is precisely why attorney review is required before any output is used.

10. Limitation of liability

To the maximum extent permitted by law, Workplex will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss arising from reliance on unreviewed or unverified output. Workplex's total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by your Firm to Workplex for the Services in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You will defend, indemnify, and hold Workplex harmless from claims, damages, and costs arising from your Firm Content, your use of the Services, or your breach of these Terms or of applicable law or professional obligations.

12. Term and termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, to protect the Services or other users, or as required by law. On termination, we will delete or return Firm Content in accordance with our Privacy Policy and any applicable agreement or BAA, subject to legal retention requirements. Provisions that by their nature should survive termination will survive.
